The following rules (“Official Rules”) constitute a binding agreement between Qualia Labs, Inc. (“Qualia”) and the person (“Entrant”, “you” or “your”) participating in Qualia’s Future of Real Estate Summit 2021 Giveaway (the “Giveaway”). Receiving a Prize for your participation in the Giveaway is contingent upon you fulfilling the requirements set forth herein.

1. GIVEAWAY ENTRY

In order to automatically participate in the Giveaway and be eligible to receive a Prize, you must (i) sign up for and attend the Event, (ii) provide your contact information (i.e., name, phone number and email address) to Qualia either at the time you sign up for the Event, or by emailing event@qualia.com with “ATTN: FUTURE OF REAL ESTATE SUMMIT 2021 GIVEAWAY” prior to the beginning of the Event, and (iii) visit every Event sponsors’ designated booth at least once during the Event. Entrant must be the person identified on its method of entry. Entrant may only enter the Giveaway once. If entries exceed the entry limitations, Entrant may be disqualified, at the Qualia's sole discretion. Incomplete, unreadable, or unintelligible entries will be disqualified.

2. PRIZE

Three (3) “Prizes” will be selected from among all eligible entries received during the Entry Period (defined below). Selected winners are eligible for up to one (1) Prize each. The Prizes have a total value $1000. The Prizes include:

• A three (3) month subscription to Goldbelly
• Best for Innovations Gift Basket
• Best of Austin, Texas Gift Basket

Odds of winning depend on the number of eligible entries received during the Entry Period.

Winners are solely responsible for reporting and payment of any taxes on a Prize.

3. SUBMISSION PERIOD

The Giveaway begins on March 11th at 11 AM ET and ends on March 11th at 5 PM ET (“Entry Period”) during The Future of Real Estate Summit 2021 (“Event”).

4. NOTIFICATION OF WINNER

At the conclusion of the Entry Period, the potential winners will be selected via random drawing from all eligible entries received in accordance with these Official Rules. The potential winners will be notified after the drawing either via phone or email after the Event. The potential winner is responsible for checking his/her spam filter and voicemail. If the potential winners cannot be contacted, fails to claim his/her Prize within 7 Days of attempted notification that he/she has won, or fails to comply with any term or condition of these Official Rules, such potential winners shall be disqualified and forfeits their Prize. In the event a potential winner is disqualified for any reason, Qualia will award the Prize to an alternate winner by random drawing from among all remaining eligible entries. The alternate winner is subject to all requirements set forth in these Official Rules. The potential winners may waive their right to receive a Prize. All Prizes are non-assignable and nontransferable. No substitutions allowed by winners. 5. QUALIFICATION FOR GIVEAWAY

No purchase necessary to enter the Giveaway.

Entrant must be age eighteen (18) and older. Employees of Qualia, its affiliated companies, advertising and promotional agencies, and the immediate family members of, and any persons domiciled with, any such employees, are not eligible to enter or to win.

Giveaway is only open to residents of the United States.

Only those individuals who have thoroughly read, understood and agreed with the contents of these Official Rules may participate in the Giveaway.

6. PUBLICITY

Except where prohibited, participation in the Giveaway constitutes Entrant’s consent to Qualia’s and its agents’ use of your name, Prize information, likeness, photograph, voice, opinions, city and state of residence, and biographical information for commercial or promotional purposes in any media, worldwide, without further payment or consideration.

7. INDEMNIFICATION

Save for cases of death or personal injury caused by Qualia’s negligence, Entrant shall indemnify, defend and hold harmless Qualia, any person or organization providing a Prize to Entrant in the Giveaway, and their respective, affiliates and advertising/promotional agencies, and the officers, directors, employees and agents (collectively, the “Released Parties”) from and against any and all claims, damages, actions, liability, loss, injury or expense, including reasonable attorneys’ fees and costs, arising out of or in connection with: (i) participation in the Giveaway; (ii) a breach or allegation which if true would constitute a breach of any of the representations, warranties or obligations herein; and (iii) acceptance, possession, grant, or use of any Prize, including without limitation, personal injury, death and property damage arising therefrom.

8. WAIVER

PRIZES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

9. NO LIABILITY

Entrant agrees to release the Released Parties from any and all liability, claims, or actions of any kind whatsoever for injuries, damages, or losses to person or property that may be sustained in connection with the receipt, ownership, or use of a Prize or with participation in the Giveaway.

10. PARTICIPATION

By participating in the Giveaway, Entrant agrees to be bound by these Official Rules and the decisions of Qualia. Qualia will not be responsible for incomplete, lost, late, misdirected or illegible entries. Qualia reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Giveaway, as solely determined by Qualia. In the event the Giveaway is compromised by, non-authorized human intervention, tampering or other causes beyond the reasonable control of Qualia which corrupts or impairs the administration, security, fairness or proper operation of the Giveaway, Qualia reserves the right in its sole discretion to suspend, modify or terminate the Giveaway. Should the Giveaway be terminated prior to the stated expiration date, Qualia reserves the right to award Prizes based on the entries received before the termination date. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and, should such an attempt be made, Qualia reserves the right to seek damages from any such person to the fullest extent permitted by law. Qualia’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. CONSTRUCTION

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

12. DISPUTES

Except where prohibited, Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Giveaway or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court located in Austin, Texas; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (iii) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant and Qualia in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdict.

13. PRIVACY POLICY AND TERMS OF SERVICE

Any information collected by Qualia from Entrant may be used for marketing purposes and is subject to Qualia’s Privacy Policy (https://www.qualia.com/privacy-policy) and Terms of Service (https://www.qualia.com/terms/). By participating in the Giveaway, Entrant hereby agrees that it has read and agrees to be bound by Qualia’s Privacy Policy and Terms of Service.

14. DISCLAIMER

NO PURCHASE NECESSARY TO ENTER AND WIN. NO ENTRY FEE REQUIRED. VOID WHERE PROHIBITED. SUBJECT TO ALL APPLICABLE LAWS, RULES, AND REGULATIONS. QUALIA RESERVES THE RIGHT TO CHANGE THESE OFFICIAL RULES AT ANY TIME WITHOUT NOTICE. THE DECISIONS OF QUALIA REGARDING THE SELECTION OF WINNERS AND ALL OTHER ASPECTS OF THE GIVEAWAY SHALL BE FINAL AND BINDING IN ALL RESPECTS. QUALIA WILL NOT BE RESPONSIBLE FOR TYPOGRAPHICAL, PRINTING OR OTHER INADVERTENT ERRORS IN THESE OFFICIAL RULES OR IN OTHER MATERIALS RELATING TO THE GIVEAWAY.
